Why we built this.

The world produces the raw materials that make the global economy work. Yet compliant digital capital channels — the kind institutions can underwrite — don't exist for these projects. T-Mines is built to close that gap.

The world's mining regions hold copper, lithium, niobium, silver, nickel, rare earths, and vast untapped critical-mineral wealth.

Yet capital for global mineral infrastructure doesn't flow efficiently. Refining is concentrated offshore under a single state actor across multiple critical-mineral categories. Project financing is fragmented across jurisdictions. Sub-hundred-million-dollar projects are systematically underserved by traditional equity markets.

How T-Mines collects, uses, and protects personal data. Effective June 20, 2026.

1. Who we are

The platform is operated by Tokenize Mines, Corp., a Wyoming corporation (“T-Mines,” “we”). This policy explains how we handle personal data when you use TMINES.com and the P2P Exchange.

2. Data we collect

Identity and verification data you provide during KYC/KYB (name, government ID, proof of address, accreditation status); wallet addresses and on-chain activity relevant to compliance; contact details you submit through forms; and technical data such as device and usage information. Issuers additionally provide corporate, project, and ownership documentation.

3. How we use it

To verify eligibility and operate compliant transfers (KYC, AML, sanctions, and wallet-risk screening); to provide and secure the platform; to meet legal, regulatory, and transfer-agent record-keeping obligations; and to communicate with you. We process data on the legal bases of contract performance, legal obligation, and legitimate interest, or consent where required.

4. Sharing

We share data with identity-verification and screening providers, the SEC-registered transfer agent, custodians, and professional advisers, and with regulators or law enforcement where legally required. We do not sell personal data. Service providers act under contract and only on our instructions.

5. Retention & security

We retain personal data for as long as needed to provide the service and to satisfy legal and record-keeping requirements, then delete or anonymize it. We apply administrative, technical, and organizational safeguards appropriate to the sensitivity of the data; no system is perfectly secure.

6. Your rights

Subject to applicable law, you may request access, correction, deletion, or portability of your data, or object to or restrict certain processing. On-chain records and data we must keep for regulatory reasons may not be erasable. Contact privacy@tmines.com to exercise these rights.

The terms governing your use of TMINES.com and the P2P Exchange. Effective June 20, 2026.

1. Acceptance

By accessing the platform you agree to these Terms. If you do not agree, do not use the platform. You must be of legal age and able to form a binding contract.

2. Eligibility & verification

Access to offerings and the Exchange requires identity verification and ongoing eligibility (KYC, KYB where applicable, AML, sanctions, and wallet-risk screening). Tokens are permissioned: only verified, eligible wallets may hold or receive them, and non-compliant transfers are rejected by the contract.

3. No investment advice

The platform provides technology and access, not investment, legal, or tax advice. Nothing on TMINES.com is an offer or solicitation except through the applicable offering documents. Offerings are made only under Regulation D Rule 506(c), Regulation S, or Regulation Crowdfunding to eligible investors. No return is promised.

4. Risk

Digital securities and tokenized assets involve significant risk, including loss of principal, illiquidity, holding-period restrictions under Rule 144, custody and counterparty risk, and technology and smart-contract risk. You are responsible for safeguarding your wallet and private keys; self-custodied assets cannot be recovered by us.

5. Acceptable use

You agree not to use the platform for unlawful purposes, to circumvent compliance controls, to provide false verification information, or to access the platform from a jurisdiction where doing so is prohibited. We may suspend or terminate access, and exercise contractual freeze, forced-transfer, or recovery functions, where required by law or court order.

6. Limitation of liability

To the maximum extent permitted by law, the platform is provided “as is,” and T-Mines is not liable for indirect, incidental, or consequential damages. Nothing limits liability that cannot be limited by law.

7. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without prejudice to mandatory protections under the laws of your place of residence. We may update these Terms; continued use after changes constitutes acceptance.

Why ERC-3643

The token standard built for regulated securities.

Every T-Mines Token Note is issued as an ERC-3643 (T-REX) permissioned security token. Unlike a plain ERC-20 coin, ERC-3643 binds identity, eligibility and compliance rules directly into the token contract — so a Token Note can only ever be held by a verified, approved wallet, and every transfer is validated on-chain before it settles.

Anyone with a wallet can receive the token. No identity, no eligibility checks, no way to enforce a holding period or block a sanctioned address. Fine for a utility coin — disqualifying for a regulated security.

Permissioned by design

Transfers are validated against an on-chain identity registry and a compliance module. Only verified, eligible wallets can hold the token; non-compliant transfers revert atomically. The rules live in the contract, not in a spreadsheet.

Token Standard · ERC-3525

The semi-fungible standard for unique, graded assets.

Diamonds, emeralds and other graded stones are individually unique — no two parcels are interchangeable — so they cannot be represented by a fungible, ERC-20-based token. T-Mines issues them as ERC-3525 semi-fungible tokens (SFTs): one certificated stone is bound to one slot and tokenId, with its grading certificate referenced on the tokenId. Every contract still runs on the same ONCHAINID / ERC-3643 compliance stack.

When units are interchangeable

Debt (TMCT), equity (TMFT) and fungible metals — gold, silver, platinum — settle by whole-unit transfer. One unit is identical to the next, so a fungible permissioned-security standard is the native fit.

ERC-3525 · SEMI-FUNGIBLE
When each asset is unique

A graded stone is one of a kind. An SFT binds that single stone to one slot and tokenId, so unique per-parcel title is preserved on-chain. Settlement is by value decrement against a specific tokenId — never by interchangeable whole units.

One stone per slot and tokenId. Never pooled.

Distinct stones must never share a slot — if they did, unique per-parcel title would collapse into fungibility. The grading certificate is referenced on the tokenId, and a token's value field may fractionalize that single stone only, splitting ownership of one parcel without ever pooling two different stones.

UNDERLYING

COLLATERAL, CUSTODY & PERFECTION
A UCC Article 9 security interest over the SPV's assets and receivables is granted to an independent Collateral Agent for all holders, perfected by financing-statement filing or control. A Coverage Test requires pledged collateral ≥ 1.5× outstanding principal.
ECONOMICS & LIFECYCLE
A fixed-term, coupon-bearing senior secured note; at maturity, repayment of face value plus an agreed premium. After the Rule 144 holding period (6 months for a reporting issuer, otherwise 12) it may be resold on the P2P Exchange.
LEGAL CHARACTERIZATION
A note under the Reves family-resemblance test — fixed-term, interest-bearing and collateralized — and therefore a security. Offered under Reg D Rule 506(c) or Reg S; any Reg CF variant carries a tenor of 12 months or less.
PRIMARY RISK
If the collateral is not genuinely the SPV's, not bankruptcy-remote from T-Mines, and not properly perfected, the “secured” claim collapses to an unsecured one. Single-project concentration is the secondary exposure.

None. No coupon, term, maturity or holding period. “Redemption” is physical delivery or transfer of title; “resale” is transfer of the token, which is the title. Price reference is independent — LBMA AM/PM fix or COMEX for metals, a GIA-based reference for stones.
REGULATORY LAYER
A metals-and-stones regime the security instruments do not trigger: the BSA dealer regime (31 C.F.R. Part 1027), OECD Gold Supplement and LBMA Responsible Gold Guidance, and the Kimberley Process for rough diamonds.
PRIMARY RISK
Any slip from allocated to pooled or unallocated custody silently converts owners into unsecured creditors — the precise failure mode TMVT exists to avoid. Continuous proof-of-collateral attestation is mandatory.
Comparables: Pax Gold, Tether Gold and other allocated, metal-backed token programs. TMVT is documented as commodity title, not a security; classification follows economic substance, not the token standard chosen.

HOLDER'S POSITION
Beneficial holder of an equity interest in the custodied shares. The full bundle of shareholder rights — voting, dividends and other economic and governance rights — flows through. The custodian votes solely on holder instruction, pro rata to an on-chain record-date snapshot.
RIGHTS PASS-THROUGH
Four things must be papered: (1) a wrapped share class that itself carries voting; (2) an on-chain record-date snapshot; (3) a fractional-vote aggregation rule; (4) custody terms obligating the nominee to vote per holder instruction. Proxy and beneficial-ownership rules apply above the thresholds.
ECONOMICS & LIFECYCLE
Tracks the underlying share price with dividend pass-through; no fixed coupon and no maturity. As a Restricted Security, resale is subject to the Rule 144 holding period, after which it may trade on the P2P Exchange.
